Terms and Conditions of Use for The Pulse of GovCon, LLC.

NOTICE: These Terms and Conditions are legally binding. It is your responsibility to read these Terms and Conditions of Use carefully prior to purchase, use or access of any of our products, including online courses.

The Pulse of GovCon LLC (“The Pulse” owns and operates public-facing websites (including thepulsegovcon.com); operates several related social media pages and groups; delivers newsletters and other content via email; and makes the same or similar content available to mobile users, including via iOS and Android apps (collectively, the “Sites”).  (App purchases are typically also subject to the terms and conditions of the entity that operates the app store, which are accessible on that entity’s website.)

Your use of the Sites and associated products and services, regardless of media, is subject to the terms, conditions, and disclaimers set forth below; to our Online Privacy Policy; and to all applicable laws and regulations. In addition, The Pulse reserves the right to terminate access to the Sites for any reason, and to take any other actions that The Pulse, in its sole discretion, believes to be in the interest of the company and some or all of its users and customers. The Pulse reserves the right to modify these disclaimers, terms, and conditions of access, without advance notice.

This is a binding contract between The Pulse and you. By accessing the Sites, you hereby accept this agreement.  As a material condition of such use, you warrant that you are over the age of thirteen and that you have provided accurate and complete information in any communication with The Pulse.

Please note that our Sites are under constant development. This Agreement may therefore be modified and updated on an ongoing basis. Please check back to this page regularly.

TERMS OF THIS COURSE OR PRODUCT PURCHASER AGREEMENT

 All programs, products and services re owned and provided by The Pulse of GovCon, LLC (“Company” or “we” or “us” or “our”). The term “You” or “Your” refers to any user or purchaser of said program(s), product(s) or service(s) (the “Offering”). These Terms and Conditions of Use govern and define how You are allowed to use and access Company’s Offering. We reserve the right to update and change these Terms and Conditions of Use at any time, and will update them accordingly with the ‘date last updated’ at the top of this page.

You are legally bound to these Terms and Conditions of Use whether or not you have read them. If You do not agree with any of our Terms and Conditions of Use, please email us at pundits@pulsegovcon.com and we will make reasonable efforts to remove your name, email and access to our Offering and website(s).

Your Product or Course Use and Consent

When you purchased our Offering, you were given a reasonable notice that these Terms and Conditions of Use existed. By moving forward with your purchase of the Offering and further access of the Offering, you implicitly agreed and continue to agree to abide by these Terms and Conditions of Use as well as any disclaimers and privacy disclosures contained in these Terms and Conditions of Use.

ACCESS

Access to the Sites is provided free of charge and does not create a professional services relationship or any other relationship with The Pulse. The Sites are provided solely for your personal, non-commercial use, except where expressly specified otherwise.

You may not develop or derive for commercial sale any data in machine-readable or other form that incorporates or uses any substantial part of the Sites nor transfer to or store any data residing or exchanged over the Sites in any electronic network for use by more than one user unless you obtain prior written permission from The Pulse.  Specifically, unless explicitly authorized in these Terms and Conditions or by the owner of the materials, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium any material from the Sites. 

INTELLECTUAL PROPERTY NOTICE

All images, text, designs, graphics, trademarks and service marks are owned by and property of The Pulse of GovCon, LLC, or the properly attributed party. It is a violation of federal law to use any of our intellectual property in whole or in part, and modification of any materials contained on this site is illegal and may be prosecuted to the fullest extent permissible should we choose to do so, including asking for financial penalties (damages) and/or an injunction forcing you to stop using our intellectual property immediately.

You may use our intellectual property with clear and obvious credit back to our site, as well links back to the page where the materials, designs, images, text, quote or post is located when it is appropriate to do so.  However, you may never claim any of our intellectual property as your own or your unique creation, even with attribution.

ONLINE COURSE INTELLECTUAL PROPERTY

Limited License. Any and all materials, paid or free, that You access on this or any related domains that contain our Offering are under the sole ownership or licensed use of The Pulse of GovCon, LLC.

To be clear, we own our page layout and design, overall look and appearance, individual graphics, icons, videos, logos, taglines and trademarks (common law or federally registered). You are not allowed to reproduce any part of our website(s), program(s), product(s), service materials or related communications.

You are only receiving a limited, non-transferable, non-exclusive, revocable license for non-commercial use only in order to access any content or materials in the Offering you have paid for or opted to receive. If You exceed the scope of this license, as determined by a legal authority such as a court of law or the Trademark Trials and Appeals Board, you have committed infringement in a manner that materially harms us, and we have the right to seek damages and/or an injunction to remedy the situation until we are made whole.

You May:

Access the Offering for Your personal use (if additional members of Your team need to access the Offering, You must purchase additional Offerings at one per each team member)

Download and/or print any Offering materials for your personal use in your business (if additional members of Your team need to download and/or print any materials from the Offering, You must purchase additional Offerings at one per each team member)

Use our trademarks and copyrighted materials with Our consent and proper credit and marking, namely, citing © The Pulse of GovCon, LLC as the source of the materials and marking any federally registered trademarks with ® or common law trademarks with ™.

You May Not:

Re-sell or trade Your access to the Offering

Share the Offering with anyone else who has not yet purchased it or opted in to receive it

Reprint or republish any of the Offering, in part or in whole

Distribute any of the materials contained in the Offering or related materials and/or communications as your own, otherwise known as stealing

Reproduce and tweak any part or whole of the Offering for distribution as your own work

Claim ownership or use over any of Our intellectual property without Our prior consent, which includes (but is not limited to): copyrights such as the Pulse Playbook, Expose, thought leadership blogs, Pulse PI, course materials, worksheets, workbooks, lessons, videos and more; trademarks such as names, logos, taglines or other unique source identifiers; or trade dress including the look and feel of the Offering (and its related communications and materials)

Use our Offering or any related materials and/or communications in an unlawful way or for any illegal or unlawful purpose(s)

Harm or threaten to harm users or members of the general public in any way, or “stalk” or otherwise harass any other person or entity;

Post or transmit any User Submission that is unlawful, false or misleading, grossly offensive, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable

Disseminate or transmit “spam,” unsolicited messages, chain letters, any advertisements, solicitations, pyramid schemes, investment opportunities or other unsolicited commercial communication

Purchase, sell, or offer to purchase or sell any equity or security or market instrument; provide information designed to manipulate any equity or security or market; or disseminate or transmit any material, non-public information about companies without authorization to do so

Collect, use, or store any personally identifiable information about other users, or otherwise violate the personal privacy rights of others

Impersonate any person or entity (including a Site agent, user, or moderator), or falsely state or otherwise misrepresent your affiliation with a person or entity

Post any unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation except in areas that are expressly designated by the Sites for such purpose

Disseminate or transmit any User Submission that infringes or violates any party’s copyright, trademark, trade secret, patent or other proprietary right; or use or distribute third-party information (whether or not protected as a trade secret) in violation of a duty of confidentiality, fiduciary duty, or similar duty

Violate any law (whether local, state, national, or international), whether or not intentionally

Forge headers or otherwise intentionally disguise the origin of any content or communication; interfere with or disrupt the Sites, or servers or networks connected to the Sites; or disobey any requirements, procedures, policies, or regulations of networks connected to the Sites

Make any User Submission related to partisan political campaigning or fundraising

Express or imply that any statements you make are endorsed by us

Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Sites

Obtain, copy, monitor, index or data mine through the use of a robot, spider, any automated device, or any manual process, the Sites or the contents (except as expressly permitted by The Pulse)

Remove any copyright, trademark or other proprietary rights notices contained in the Sites;

“Frame” or “mirror” any part of the Sites

Engage in any other activity deemed by The Pulse to be in conflict with the spirit or intent of this agreement or that might violate the rights of others or give rise to liability

You understand that by using the Sites, you may be exposed to content that may offend you or challenge your beliefs. Your remedy is to avoid such content by discontinuing your access.

Request for Permission to Use Content

If you wish to use, publish or access any of our content, Offering(s) or related materials, You must do so by requesting permission prior to commencing use of the same by email Us at pundits@pulsegovcon.com.

Civil and Criminal Penalties

Even though our Offering is not necessarily something you can physically hold in your hand and walk away with, it is nevertheless considered theft to steal, infringe or otherwise violate these Terms and Conditions of Use. We reserve the right to prosecute infringers to the fullest extent allowed by criminal or civil statute in any jurisdiction allowed. You explicitly consent to personal jurisdiction in Virginia by opting into or purchasing any Offering or accessing its related communications and/or materials.

Content and Non-Endorsement

Opinions and other statements expressed by users and third parties are theirs alone, not opinions of The Pulse. Content created by third parties is the sole responsibility of the third parties and its accuracy and completeness are not endorsed or guaranteed. The Sites and third parties may provide links to web pages, web sites, and various resources or locations on the web. The Pulse has no control over the information you access via such links, does not endorse that information, and shall not be responsible for it or for the consequences of your use of that information.

Use of RSS Feeds

Some of the Sites may provide an RSS feed (the “Feeds”).  Individuals may use the Feeds free of charge for their personal, non-commercial use only. When using the The Pulse feeds, we ask that you provide attribution to the specific The Pulse brand including at a minimum a linked logo, a link that returns to the original URL and that you set the canonical tag to The Pulse. The Pulse reserves the right to disable, to change, or to cease distribution of Feeds at any time, and reserves the right to require individuals to cease any and all use of the Feeds at any time for any reason. To request permission to make commercial use of the Feeds, please contact us at pundits@pulsegovcon.com.  The Pulse will consider such submitted requests, but is not obligated to grant any specific permission request.

Use of Associated Press Materials

Some of the material available on the Sites is provided by the Associated Press. By using the Sites you agree and acknowledge that (1) you will not publish, broadcast, or rewrite for broadcast or publication, or redistribute directly or indirectly in any medium any Associated Press text, photo, graphic, audio, and/or video material, and (2) no Associated Press materials nor any portion thereof may be stored in a computer except for personal and non-commercial use. The Associated Press will not be held liable for any delays, inaccuracies, errors or omissions in its materials or in the transmission or delivery of all or any part of its materials, or for any damages arising from any of the foregoing. Your Materials and Contributions

By submitting a comment, photo, video or other material(s) onto any website or platform owned or maintained by Us, including but not limited to third party access sites, such as Our Facebook group(s) or online software platforms that we use to distribute Our Offering and related materials, you agree that we have a non-revocable, commercial license to re-publish your submission in whole or in part unless you explicitly state that We may not do so with said submission. You have no right to privacy by accessing Our Offering or related materials, and We reserve the right to disclose your participation in the same. Model release. You must own the copyright to any image(s) You use by default or voluntarily on our platforms or in our Offering or related materials. You grant Us a commercial license to any image(s) you submit to Us by default, such as a Facebook profile photo or other profile image you voluntarily provide in accessing the Offering, or voluntarily upon Our request. Such a default or voluntary release of Your image and likeness may be used for any reasonable future business use.

Model Release

You must own the copyright to any image(s) You use by default or voluntarily on our platforms or in our Offerings or related materials.  You grant Us a commercial license to any image(s) you submit to Us by default, such as a Facebook profile photo or other profile image you voluntarily provide in accessing the Offering, or voluntarily upon Our request. Such a default or voluntary release of Your image and likeness may be used for any reasonable future business use.

Notification of Use

We are not obligated to notify You or anyone in photographs of Our publication or other use of any image or images you submit by default or voluntarily.

SECURITY AND ASSUMPTION OF RISK

Security

It is Your responsibility to secure your username and password from theft or any other means of unauthorized use that would violate these Terms and Conditions of Use. We do not store any whole credit card numbers or payment information, and instead, these are processed through third party processors such as Stripe, MemberSpace, or PayPal. By utilizing these payment processors to gain access to the Offering, You indemnify Us and instead assume any and all risk or liability for the security of the payment details, and agree to be bound by the third-party payment processor’s applicable terms and conditions of use.

Confidentiality

You have no right to confidentiality unless otherwise explicitly stated, such as in a subsequent client agreement, or otherwise implicitly agreed upon as mandated by law or fiduciary duty.

Assumption of Risk

By accessing our Offering and/or related materials, whether paid or unpaid, you assume all the risk of your access and any subsequent actions you choose to take as a result of the influence, information or educational materials provided to You.

YOUR COMMUNICATIONS

Any communications made through our ‘contact,’ blog, blog comments, newsletter sign up or other related pages, or directly to our phones or mailing or email addresses is not held privileged or confidential and is subject to viewing and distribution by third parties. We own any and all communications displayed on our website, servers, comments, emails or other media as allowed by United States law, and will not give credit or pay royalties for unsolicited user-generated content such as blog comments or emails. We maintain a right to republish any submission in whole or in part as reasonably necessary in the course of our business. The Pulse assumes no responsibility or liability arising from the content of the Sites nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger or inaccuracy contained in any information within the Sites or accessed through the Sites. The Pulse also does not warrant that the functions or informational materials contained in or accessed or downloaded through our Sites are free of computer viruses or other harmful components. Indemnification

You agree to indemnify, defend and hold The Pulse, its affiliates, licensors, suppliers, advertisers and sponsors, and its and their directors, officers, employees, consultants, agents and other representatives, harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees) and other expenses that arise directly or indirectly out of or from (a) your breach of this agreement, including any violation of the Terms of Service; (b) any allegation that any User Submissions infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; and/or (c) your activities in connection with the Sites.

Special Agreement on Fee-Shifting and Choice of Law

If you attempt to bring any legal action against The Pulse based in any way on its products or services, including the Sites, you agree that, in the event you do not prevail, or The Pulse does prevail, you will reimburse The Pulse for any costs and attorneys' fees associated with their defense of the action.

The use of the Sites and any claim or dispute relating to the Sites shall be governed by the laws of the state of Virginia, without regard to its conflicts of law principles. Exclusive venue for any claim shall be in the state and federal courts located in the state of Virginia. Use of the Sites is unauthorized in any jurisdiction that does not affect all provisions of these Terms of Service, including without limitation this paragraph.

Affiliates

This site may use affiliate links to sell certain products or services. We disclaim any and all liability as a result of your purchase through one of these links. We will use reasonable efforts to notify you when and where we have placed affiliate links in addition to this disclaimer located in these Terms & Conditions. You accept express liability for any and all consequences or benefits of clicking the affiliate links contained on this website or related communications.

Termination

If at any time we feel you have violated these Terms and Conditions, then we shall immediately terminate your use of our website and any related communications as we deem appropriate. It is within our sole discretion to allow any user’s access of our website, and we may revoke this access at any time without notice, and if necessary, block your IP address from further visits to our site(s).

FINANCIAL CONSIDERATIONS

Refunds

We take your investment seriously, and we’d appreciate if you took our investment of time and resources into your success seriously too.

Due to the nature of the services and/or products provided, refunds will not be given unless otherwise specified in writing.  The Pulse GovCon, LLC reserves the right to charge 5% interest per day upon any outstanding sum left unpaid on or after 14 calendar days from due date.

After 14 days of outstanding payment, The Pulse GovCon, LLC reserves the right to send you to collections, upon which you will owe the total amount of any outstanding payments plus any collection costs including reasonable attorney’s fees.

Chargebacks

You agree to make every attempt to file a refund prior to attempting a chargeback with your financial institution. In the event of a chargeback attempt, You expressly agree to forfeit any and all of Our bonuses, affiliate bonuses or other materials afforded to you in exchange for your original purchase of our Offering. We reserve the right to present proof of Your access and these Terms and Conditions of Use to the financial institution investigating the dispute.

Recurring Payments

If you have signed up for a payment plan, You hereby authorize our continued access to your financial information stored by our third-party financial processing company referenced in this Agreement until your payment plan is complete, as set forth in Your acceptance of the purchase terms upon checkout.

Revocation of Access

You have the unilateral right to terminate your use and access to any of Our Offering(s). Please send an email to pundits@pulsegovcon.com to initiate this process. Termination will not excuse you of further payment. Upon confirmation of your termination, any and all outstanding balances will become immediately due and payable. Any existing balance that remains after 14 days from the date of termination will be sent to a collections agency, and You agree to be responsible for any additional charges, fees or costs associated with such a collection effort, including but not limited to reasonable attorney’s fees and court costs.

Dispute Resolution

If You and our Company cannot find a resolution to a dispute or potential claim by means of good-faith negotiation, then You explicitly agree to make a reasonable attempt to resolve any such dispute through Alternative Dispute Resolution or Mediation before filing a civil cause of action.

Non-Disparagement

If you are found to be slandering, libeling or otherwise disparaging our Company, Offering(s) or related materials at our discretion, You will be immediately removed from the Offering(s) and any related communications. We reserve the right to file a civil claim of action against You for any such damaging actions You take that materially harm our Company.

Entire Agreement

Before you register with our website or make any purchases therefrom, you will be asked to consent to our Privacy Policy. If you have consented, or once you do consent, the terms of the Privacy Policy together with these Terms and Conditions, the information contained herein constitutes the entire agreement between site users and our company relating to the use of this website.

Severability

If any part of these Terms and Conditions or our Privacy Policy is deemed unlawful and/or unenforceable, all other provisions contained herein will remain in full force and effect.

THIRD PARTIES

For the most part, we do not process your information in-house, but give it to third party processors for processing. For example, when PayPal takes your payment information, they are a third party processor. They process your payment and remit the funds to us. So in many instances, it will be necessary for us to transmit your information to a third party processor, as we do not have the capability to perform these functions. More detail on third party processing is detailed below.

However, we may, from time to time, process your data internally. We offer the opportunity for you to volunteer certain information to us that is used for email and marketing purposes. This information includes, but is not limited to, your name and email. You will have an opportunity to unsubscribe from any future communications via email, but we reserve the right to maintain a database of past email subscribers.
